1. Agreement to These Terms

These Terms and Conditions explain the rules that apply when you access or use AiAir LLC websites, applications, dashboards, account setup pages, connected devices, software, SMS services, support channels, diagnostics, insights, and related products or services.

By using AiAir, creating an account, connecting a device, accessing a dashboard, opting in to service communications, or otherwise using the services, you agree to these Terms. If you do not agree, do not use the services.

2. About AiAir

AiAir is a room-by-room HVAC intelligence platform. AiAir may use room sensors, smart vents, air quality sensors, airflow data, HVAC runtime information, utility information, schedules, customer settings, and software intelligence to help customers understand comfort, energy use, air quality, airflow, and system health.

AiAir features may change over time. Some features may be experimental, beta, limited, unavailable, or subject to additional requirements.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority where you live, to create an AiAir account or use AiAir services as an account holder.

You are responsible for keeping your login credentials secure, maintaining accurate account information, and controlling access to your devices, home, Wi-Fi network, and account. You are responsible for activity that occurs through your account unless caused by AiAir's failure to follow its legal obligations.

4. Customer Information and Setup Data

To provide AiAir services, you may need to provide information such as name, email address, phone number, service address, room names, device assignments, HVAC details, utility information, schedules, comfort preferences, support messages, photos, and other setup details.

You agree to provide accurate information and to update it when needed. Incorrect setup information may affect comfort estimates, cost estimates, HVAC insights, device behavior, or support recommendations.

5. Device Installation and Use

AiAir products and connected devices should be installed, configured, and used according to the instructions provided with the product or service. Some installation steps may require care around electrical systems, HVAC equipment, vents, wiring, tools, ladders, or other home systems.

You are responsible for deciding whether you can safely complete an installation yourself or whether you should hire a qualified professional. AiAir is not responsible for damage, injury, or loss caused by improper installation, misuse, unauthorized modification, unsafe work, or failure to follow instructions.

6. HVAC, Comfort, and Energy Information

AiAir may provide comfort insights, room temperature readings, air quality information, airflow estimates, energy estimates, cost estimates, system health notices, predictions, trends, and recommendations. These outputs are informational and may be incomplete, delayed, estimated, or affected by device placement, sensor limitations, configuration, internet connectivity, HVAC conditions, weather, utility rates, and other factors.

AiAir does not guarantee any specific energy savings, comfort outcome, HVAC performance improvement, utility bill reduction, diagnosis, repair result, or equipment lifespan.

7. Safety and Emergency Limitations

AiAir is not an emergency service, life safety system, fire alarm, carbon monoxide alarm, medical device, security system, or substitute for professional inspection, maintenance, repair, or emergency response.

If you believe there is a dangerous condition, emergency, gas leak, electrical issue, carbon monoxide concern, fire risk, water damage, extreme temperature risk, health risk, or HVAC failure that could cause harm, contact the appropriate emergency service, utility, landlord, property manager, licensed HVAC professional, or other qualified provider.

8. Service Communications and SMS

AiAir may send account, service, setup, verification, and support communications by email, in-app message, push notification, or SMS where available and where you have provided the required contact information and consent.

The current AiAir SMS program is used for one-time passcodes and verification codes related to login, account creation, and account access. Message frequency varies based on account activity. Message and data rates may apply. Reply STOP to unsubscribe from SMS. Reply HELP for help.

Consent to receive SMS messages is not required to purchase or use AiAir services. If AiAir later offers broader SMS alerts, such as comfort, device, HVAC, or system notifications, those alerts may require separate consent and updated SMS terms.

AiAir SMS messages are governed by the AiAir SMS Terms available at sms.html.

9. Privacy

AiAir handles personal information, home information, device information, environmental readings, HVAC data, uploaded files, communications, and related data according to the AiAir Privacy Policy available at ui-privacy.html.

10. Subscriptions, Billing, and Payments

Some AiAir services may be free, included with hardware, offered as a trial, or subject to subscription fees, usage fees, service fees, hardware charges, installation charges, or other paid terms. Any paid feature will be described at the time of purchase or enrollment.

If you enroll in a paid service, you authorize AiAir or its payment processor to charge the payment method you provide for applicable fees, taxes, and recurring charges. Unless otherwise stated, fees are non-refundable except where required by law or where AiAir provides a different refund policy in writing.

11. Beta, Prototype, and Early Access Features

AiAir may offer beta, prototype, pilot, test, or early access features. These features may be incomplete, unstable, inaccurate, discontinued, changed, or limited. You agree not to rely on beta or prototype features for critical decisions or safety outcomes.

12. Acceptable Use

You agree not to misuse AiAir services. You may not:

• Access, test, or interfere with systems without authorization.
• Attempt to bypass authentication, security, safety controls, rate limits, or account restrictions.
• Use AiAir to harm people, property, HVAC equipment, networks, devices, or services.
• Reverse engineer, copy, resell, or commercially exploit AiAir software or services except as allowed by law or written permission.
• Upload malicious code, misleading content, unlawful content, or content you do not have the right to provide.
• Use the services in a way that violates law, infringes rights, or interferes with other users.

13. Software, Updates, and Changes

AiAir may update software, firmware, dashboards, APIs, device behavior, security settings, and features from time to time. Updates may be required for security, reliability, compatibility, compliance, safety, or product improvement.

AiAir may modify, suspend, or discontinue features, services, integrations, or support for certain hardware or software where needed. We will try to provide notice when practical, but some changes may occur without notice for security, legal, safety, or operational reasons.

14. Third-Party Services

AiAir may interact with third-party services, platforms, cloud providers, communications providers, payment processors, analytics tools, AI tools, installers, HVAC partners, or other providers. Third-party services are governed by their own terms and policies.

AiAir is not responsible for third-party services that it does not control.

15. HVAC Partner and Service Handoff

AiAir may help customers contact an HVAC professional or service partner when a customer requests help or gives consent. AiAir does not guarantee partner availability, arrival time, repair outcome, pricing, workmanship, licensing, insurance, or service quality unless expressly stated in a separate written agreement.

When AiAir shares information with an HVAC partner at your request or with your consent, the shared information may include account, home, device, equipment, diagnostic, photo, or service request information relevant to the requested help.

16. Intellectual Property

AiAir websites, software, dashboards, designs, text, graphics, logos, product names, features, workflows, documentation, data models, and other materials are owned by AiAir LLC or its licensors and are protected by intellectual property laws.

You may use AiAir services only for your personal, household, or authorized business use as permitted by these Terms. These Terms do not transfer ownership of AiAir intellectual property to you.

17. Customer Content

You may provide information, photos, files, messages, feedback, room names, HVAC details, utility bills, support notes, or other content. You represent that you have the right to provide that content.

You grant AiAir permission to use that content as needed to provide, secure, maintain, support, analyze, and improve the services, and as otherwise described in the Privacy Policy.

18. Warranties and Disclaimers

Except where AiAir provides a separate written warranty, AiAir services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.

AiAir does not guarantee that the services will be uninterrupted, error-free, perfectly accurate, secure, available at all times, compatible with every HVAC system, or capable of detecting every issue.

19. Limitation of Liability

To the fullest extent permitted by law, AiAir LLC and its owners, employees, contractors, suppliers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost savings, lost data, loss of use, substitute services, equipment damage, or property damage arising from or related to the services.

To the fullest extent permitted by law, AiAir's total liability for claims related to the services will not exceed the amount you paid to AiAir for the specific service or product giving rise to the claim during the six months before the claim arose, or one hundred dollars if you paid nothing for that service.

20. Indemnification

You agree to defend, indemnify, and hold harmless AiAir LLC from claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the services, violation of these Terms, unsafe installation or use, unlawful conduct, or content you provide.

21. Termination

You may stop using AiAir services at any time. AiAir may suspend or terminate access if you violate these Terms, create risk, misuse the services, fail to pay required fees, or if continued service is no longer practical, lawful, secure, or commercially reasonable.

22. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles, unless applicable law requires otherwise.

23. Changes to These Terms

AiAir may update these Terms from time to time. The updated version will be posted with a new last updated date. Continued use of the services after updated Terms are posted means you accept the updated Terms.
